Terms/Legal Statement

The AdsSwap.com network of Web Sites and related media properties (the "Site") is an online information service provided by DIME Consultants Inc. (www.AdsSwap.com), subject to your compliance with the terms and conditions set forth below.

Please read this document carefully before accessing or using the site. By accessing or using the AdsSwap.com WidgetAds or any of its supplemental websites owned by DIME Consultants inc. you agree to be bound by the terms and conditions set forth below. If you do not wish to be bound by these terms and conditions, you may not access or use this site. DIME Consultants Inc. may modify this agreement at any time, and such modifications shall be effective immediately upon posting of the modified agreement on the Site.

You agree to review the agreement periodically to be aware of such modifications and your continued access or use of the site shall be deemed your conclusive acceptance of the modified agreement.

AdsSwap.com is an online advertising network. All ads, comments, and other features herein are for informational purposes only and are provided "as is" without warranties, representations or guarantees of any kind. The views and opinions expressed in an article, comments, links or blogs are the author's own, and not necessarily those of AdsSwap.com's owners.

DIME Consultants is not responsible and assumes no liability for the quality, merchantability or fitness for a particular purpose of the products or services advertised on the AdsSwap.com website or available from external sites and listed or described on this website, nor is DIME Consultants responsible and assumes no liability for the accuracy, reliability or currency of the information contained or referenced on this site and supplied by external sources.

AD PLACEMENT RULES

AdsSwap.com is NOT a free system. By joining as either an advertiser or network member, you agree that ads are paid for. Network members *can* earn additional ads by placing code on their web pages, however in order to be approved you must first submit payment for this right.

Affiliates

By registering as a member, advertiser, and/or affiliate, you agree that you are NOT an employee in any way of AdsSwap.com nor of DIME Consultants Inc. You are an independent representative, and therefore have no ownership rights of any kind. You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict this statement.

Joining the Program

By filling out the signup form you will automatically become an affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose: to legally advertise our website to receive a commission on products purchased by your referral individuals.

Revocation of Affiliate Status

Your affiliate application and status in the program may be suspended or terminated for any of the following reasons:

Inappropriate advertisements (False claims, misleading hyperlinks)
Spamming (mass email, mass newsgroup posting, etc...)
Advertising on sites containing/promoting illegal activities
Violation of intellectual property rights.

Affiliate Links

You may use graphic and text links both on your website and in emails. The site may also be advertised "offline" in classified ads, magazines, and newpapers. You may use the graphics and text provided to you by us, or you may create your own as long as they are deemed appropriate according to the conditions stated previously.

Pending Commissions and Fraud

Commissions will appear and remain as pending until they are verified as a confirmed sale. This is to prevent possible fraud from those who may attempt to bypass payment. Pending e-Checks or credit card purchases flagged as possible fraud (by card processor's fraud screening) will be held until cleared. Upon clearing they will become approved in your account. (This is fair standard practice with most websites).

Payment of Referral Commissions

Commissions will be paid by Paypal, Alertpay or check according to the method the person paid for their purchase. If you do not accept Paypal or Alertpay, payment will be made by check. Paypal and Alertpay Commissions will be paid after 48 hours, and are issued on Tuesdays and Fridays. All payments made by Credit card outside of paypal or alertpay or Check, will be issued within 10-14 days, after payment has been received by us. If any order that generated a referral fee is returned by the customer, or if there are any returned checks or charge backs, the amount will be deducted from the next payment due affiliate.

Terms of the agreement

These terms will begin upon your signup with the affiliate program and will end when your affiliate account is terminated. The terms of this agreement may be modified by us at any time. If any modification to the terms is unnacceptable to you, your only choice is to terminate your affiliate account. Your continuing participation in the program will constitute your acceptance of any change.

Account/Contact Information

In order to receive payment, your affiliate account must be complete with your mailing address. This information is never shared, however it is required by our local laws to have on file.

Liability

We will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of "intents of harm" to the program or our website. We do not make any expressed or implied warranties with respect to the affiliate program and/or products sold at this site. We make no claim that the operation of the affiliate program and our website will be error-free and we will not be liable for any interruptions or errors. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under to this Agreement.

Disclaimers

We make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of our site or the Affiliate links will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or errors.

Every effort has been made to accurately represent the upcoming product and its potential. Even though this industry is one of the few where one can "write their own check" in terms of earnings, there is no guarantee that you will earn any money using the techniques and ideas with this system. Examples in these materials are not to be interpreted as a promise or guarantee of earnings. Earning potential is entirely dependent on the person using our product, ideas and techniques.

We do not purport this as a "Get Rich Scheme."

Refund Policy

Because this is a digital service that is provided, refunds will not be provided after 48 hours of FIRST purchase. Members understand that by joining as a preferred member, you will be billed each and every month automatically until you cancel your payments. You are responsible for cancelling automatic payments PRIOR to them coming out. Refunds will not be provided for failing to remember to cancel your payment. Should you cancel your subscription, your account will remain active until the payment time frame runs out. (i.e., if you submit payment on the 5th, cancel your automatic billing on the 8th, your account will remain accessible to you until the 4th of the next month.)

Spam Policy

By joining as a member or affiliate, you agree not to send unsolicited emails (SPAM) to people you do not know. You are allowed to market by purchasing advertising in reputable newsletters. Please do NOT buy leads. If you choose to buy leads, you are not authorized to use your AdsSwap.com affiliate url in ANY mailings sent to those leads unless they double opt-in with you after the fact. Any member found wrongfully or repeatedly spamming people will have their accounts revoked, commissions will not be issued, and no refunds will be provided. Simply put: do not spam. (We do investigate every claim to ensure that it isn't a false claim. This warning is for those who may repeatedly spam, not just a person who can't be bothered removing themselves from your lists.)

DIME CONSULTANTS INC. HAS NO CONTROL OVER THESE SITES OR SITES THAT MAY LINK TO SIMILAR, AND DIME CONSULTANTS INC. ACCEPTS NO RESPONSIBILITY WHATSOEVER FOR SUCH MATERIALS.

LIMITATION OF LIABILITY
In no event will DIME Consultants Inc. be liable for (I) any incidental, consequential or indirect damaages (including but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use of or inability to use the service, or any information or transactions provided on the service, or downloaded from the service, or any delay of such information or service. Even if DIME Consultants Inc. or its authorized representatives have been advised of the possibility of such damages, or (II) any claim attributable to errors, omissions, or other inaccuracies in the service and/or matierials or information downloaded through the service. Because some states and provinces do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such provinces or states, DIME Consultants Inc.'s liability is limited to the greatest extent permitted by law.

Equipment.

You shall be responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the Site and all charges related thereto.

Indemnification.

You agree to indemnify, defend and hold harmless DIME Consultants Inc., its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Site from and against all losses, expenses, damages and costs, including attorneys' fees, resulting from any violation of this Agreement (including negligent or wrongful conduct) by you or your use and access of the Site.

Third Party Rights.

The provisions of paragraphs 3 (Use of the Site), and 5 (Indemnification) are for the benefit of DIME Consultants Inc. and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Site. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.

Term; Termination.

Either party without notice may terminate this Agreement at any time for any reason. The provisions of paragraphs 1 (Copyright, Licenses and Idea Submissions), 3 (Use of the Site), 5 (Indemnification), 6 (Third Party Rights) and 11 (Miscellaneous) shall survive any termination of this Agreement.

Special Admonitions for International Use.

Recognizing the global nature of the Internet, you agree to comply with all local rules including, without limitation, rules about the Internet, data, e-mail, or privacy. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from Canada, the United States or the country in which you reside.

Dealings with Third Parties.

Your participation, correspondence or business dealings with any third party found on or through the Site, regarding the payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such third party. You agree that DIME Consultants Inc. shall not be responsible or liable for any loss, damage or other matters of any sort incurred as the result of any such dealings.

Links.

The Site may provide, or third parties may provide, links to non-AdsSwap.com Internet World Wide Web sites or resources. Because DIME Consultants Inc. has no control over such sites and resources, you acknowledge and agree that DIME Consultants inc. is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that DIME Consultants Inc. shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

Miscellaneous.

This Agreement shall all be governed and construed in accordance with the laws of the Province of Ontario, Canada applicable to agreements made and to be performed in Ontario. You agree that any legal action or proceeding between DIME Consultants Inc. and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in the region of Niagara, province of Ontario.

Any cause of action or claim you may have with respect to the Site must be commenced within one (1) year after the claim or cause of action arises or such claim or cause of action is barred. DIME Consultants Inc.'s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. DIME Consultants Inc. may assign its rights and duties under this Agreement to any party at any time without notice to you.
